Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern your use of the SodaBrothers platform (“Platform”), operated by SodaBrothers AS (“SodaBrothers”, “we”, “us”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Services

SodaBrothers provides a digital mortgage origination, servicing, and management platform for buy-to-let (BTL) commercial mortgages targeting professional landlords and corporate borrowers. Our services include:

  • Mortgage quote generation and indicative offers
  • Online mortgage application submission and processing
  • Document upload and verification
  • Identity verification (KYC/AML) through third-party providers
  • Loan servicing, payment processing, and account management

3. Eligibility

To use our Platform and apply for a mortgage, you must:

  • Be at least 18 years of age
  • Be a professional landlord or a corporate entity seeking commercial BTL finance
  • Provide accurate, truthful, and complete information
  • Successfully complete identity verification as required by applicable AML legislation

4. Quotes and Offers

  • Quotes generated on the Platform are indicative only and do not constitute a binding offer of credit
  • Quoted interest rates and terms are subject to change based on full underwriting, property valuation, and credit assessment
  • Indicative offers are valid for the period stated (typically 30 days) and may be withdrawn at our discretion
  • A formal mortgage offer is only binding once signed by both parties and the notarial deed is executed

5. Applications

By submitting a mortgage application, you authorise SodaBrothers to:

  • Verify your identity and perform anti-money laundering checks
  • Request and review supporting documentation (financial statements, property details, etc.)
  • Obtain third-party valuations of the subject property
  • Assess your creditworthiness and rental income sufficiency

We reserve the right to decline any application at our sole discretion. A declined application does not create any liability on the part of SodaBrothers.

6. Your Obligations

  • You must provide accurate and up-to-date information throughout the application process
  • You must not use the Platform for any fraudulent, illegal, or unauthorised purpose
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must promptly notify us of any material changes to your financial circumstances during an active application

7. Fees and Costs

All applicable fees (arrangement fees, valuation fees, legal costs) will be disclosed before you accept a formal offer. Closing costs such as transfer tax (ITP), stamp duty (AJD), notary fees, and land registry fees are estimated during the quote stage but may vary based on final transaction details and autonomous community regulations.

8. Loan Terms

The specific terms of any mortgage (interest rate, repayment schedule, conditions) will be set out in the formal mortgage offer and notarial deed. In the event of any conflict between these Terms and the mortgage agreement, the mortgage agreement shall prevail.

9. Intellectual Property

All content on the Platform — including text, graphics, logos, software, and design — is the property of SodaBrothers or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or use any Platform content without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, SodaBrothers shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform. Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or in connection with these Terms shall be submitted to the courts of Madrid, Spain, unless otherwise required by mandatory consumer protection legislation.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
